As part of its business the Law Firm offers a range of specialized legal advisory services as part of legal assistance, including drafting contracts and expressing opinions about contracts, legal advice and opinions, establishing companies, day-to-day legal services to companies, litigation, mergers, acquisitions and transformations of companies, admitting shares to public trading, performing due diligence audits and similar audits, any and all assignments in the area of the public procurement law.

It is possible to rely on our on-going legal services as part of the co-operation with our Law Firm. In this way the clients are able to take advantage of legal services based on terms and within time frames set out in a contract for on-going legal assistance services.

Contracts

Apart from defining the form of contracts, expressing opinions about and negotiating their contents, the Law Firm can also perform tax assessments of the clients’ draft contracts, including proposing amendments to the contracts with a view to streamlining taxes.
The Law Firm offers the possibility of preparing or opining the majority of popular contracts used in economic trade. It is also possible for us to develop or express opinions about mixed contracts or non-standard contracts with third parties (e.g. with contractors) or internal contracts
(e.g. between partners).

Legal advice

The Law Firm also provides legal advice which is a basic form of legal assistance to entrepreneurs. Legal advisory services rendered by our lawyers cover different areas of law, e.g. business law, company law, labour law, administrative law or civil law. The form of legal advice suits the client’s needs which he communicates to us. Detailed analyses and opinions are performed and prepared in more complicated legal conditions.

Legal advice is provided by our staff in a customized manner. Clients can be advised orally at a meeting in our Law Firm or at the client’s office, by phone or at the client’s seat. Written advice is provided by e-mail, fax or traditional post.

Companies

The Law Firm provides full legal advisory services related to drafting documents, registration of companies, changes affecting the companies as well as services related to holding Meetings of Shareholders or General Meetings. For example, the related services include drafting articles of association, memoranda of association, statutes including solutions that meet the client’s needs, documentation required for the registration of a company with the National Court Register and minutes of the Meetings of Shareholders and General Meetings.

Thanks to an adopted practice at our Law Firm consisting in the preparation of model drafts of notarial deeds of the documents specified above and the trust Notaries Public place in us, we are able to guarantee smooth process of notarial activities.

A standard service rendered by the Law Firm as part of the legal services to entrepreneurs is assistance with handling company affairs. Company law matters include: additional payments, liquidation processes, mergers, decreasing or increasing a share capital, drafting regulations of the Supervisory Board or Management Board, regulations of the Meetings of Shareholders or General Meetings, selling shares, appointing and revoking commercial proxies, excluding a shareholder, closing the accounting year, filing complaints against resolutions of the meeting of shareholders, pledging shares, changing the composition of the company’s governing bodies, amending the company’s articles of association.

Since the majority of company affairs results in tax consequences, the Law Firm also offers assistance with assessing tax consequences of individual events.

Court cases

Court cases are fundamental to our practice of law. Our lawyers provide the following related services: negotiations of court settlements, court trials, enforcement proceedings, follow-up proceedings.

The scope of the services rendered in this area depends on the client’s needs. It is possible to assign us the entire case or individual tasks only (e.g. drafting a statement of claim, charges, appeal, cassation or other court correspondence).

Our fees for litigation are determined based on arrangements made with the clients. Minimum rates specified in the Regulation of the Minister of Justice dated 28 September 2002 governing of legal fees and incurring the costs of unpaid ex officio legal assistance by the State Treasury are taken into account in the process (Dziennik Ustaw [Journal of Laws] 2.163.1348).

How we work together

The fees for our on-going legal services are either set as a lump-sum remuneration for a given period of time or can be based on hourly charge-out rates. If it is impossible to determine the exact scope of the services and time to be spent on the assignment, the clients can be initially charged based on each task separately or based on hourly charge-out rates. Such method of determining our fees is also applied if the needs for legal services vary in individual months.

It is also possible to conclude a contract for on-going legal assistance without determining fixed monthly fees. In such case the Law Firm, having analyzed the specific nature and type of business of the entrepreneur, remains to be ready to render legal services. If the company needs legal services, it files an order with the Law Firm which is then fulfilled within a time limit and at a price agreed in advance in the contract for on-going legal assistance.
